We are seeking a detail-oriented and proactive Corporate Paralegal to join our legal team. The successful candidate will assist the company’s attorneys with legal research, document preparation, contract administration, compliance matters, and corporate governance. The Corporate Paralegal will be instrumental in ensuring that the company adheres to legal regulations and maintains proper documentation for corporate transactions and activities.

As Corporate Paralegal at Eko, You Will:

  • Assist attorneys with the preparation, review, and filing of corporate documents, such as articles of incorporation, bylaws, operating agreements, and corporate resolutions.
  • Conduct legal research and gather relevant information for corporate governance matters, mergers and acquisitions, contract negotiation, and regulatory compliance.
  • Maintain corporate records, including shareholder meeting minutes, board resolutions, and stockholder agreements.
  • Assist in the preparation and filing of necessary documents with government agencies.
  • Prepare and manage contracts, including drafting, reviewing, and revising agreements such as NDAs, vendor contracts, and service agreements.
  • Organize and maintain corporate documents and files, ensuring compliance with document retention policies.
  • Coordinate the execution and distribution of corporate documents, ensuring proper signatures and filings.
  • Ensure compliance with applicable laws and regulations in all corporate activities.
  • Provide administrative support to the legal team, including scheduling meetings, tracking deadlines, and maintaining correspondence.
  • Assist with due diligence efforts in connection with mergers, acquisitions, and other corporate transactions.
  • Maintain confidentiality of sensitive corporate and legal information at all times.

As Corporate Paralegal at Eko, You Have:

  • Associate’s degree or paralegal certificate from an accredited program.
  • A minimum of five years of experience as a corporate paralegal or in a related legal field.
  • Strong knowledge of corporate law, corporate governance, and regulatory compliance.
  • Familiarity with corporate filings, securities law, and business entity formation.
  • Exceptional organizational skills and the ability to manage multiple projects simultaneously.
  • Strong written and verbal communication skills.
  • Attention to detail and a high level of accuracy in all work products.
  • Ability to work independently as well as collaboratively within a team.
  • Proficiency in Google Workspace, Microsoft Office Suite and other common office software.

As a Corporate Paralegal, We Would Appreciate If You Have:

  • Bachelor’s degree or equivalent work experience.
  • Experience with contract management software or legal project management tools.
  • Experience with mergers and acquisitions, securities filings, or intellectual property matters.
